The role involves providing legal counsel on corporate transactions and drafting various commercial agreements while working remotely. Responsibilities • Provide legal counsel on Corporate Transactions: including mergers and acquisitions, joint ventures, debt-financing and corporate governance matters. • Draft, review, and negotiate a wide range of Commercial Agreements: including NDAs, service agreements, and vendor contracts. • Conduct due diligence and assist with Corporate Document Matters: including the structuring, negotiation, and execution of complex business deals. • Advise clients on Compliance: Keep in check and up to date with Federal and state Corporate laws and regulatory requirements.
