Role Overview

We are seeking an experienced Head of Legal to lead and manage all legal, regulatory, and compliance matters across the organization. This role will be responsible for cross-border legal strategy, corporate governance, fundraising support, regulatory compliance, and risk mitigation, particularly in Fintech, SaaS, and international business environments.

The ideal candidate will act as a strategic legal partner to leadership, ensuring the company’s growth is legally sound, compliant, and risk-aware across multiple jurisdictions.

Key ResponsibilitiesCorporate & Governance
• Oversee corporate governance, company secretarial matters, and board compliance
• Ensure adherence to internal policies, regulatory frameworks, and statutory requirements
• Lead corporate risk mitigation strategies and legal controls

International & Cross-Border Matters
• Handle international and cross-border legal matters across EU, UK, and USA
• Support cross-border transactions and ensure regulatory compliance in multiple jurisdictions
• Advise on global expansion, entity structuring, and jurisdiction-specific legal risks

Fundraising, M&A & Strategic Transactions
• Lead legal support for fundraising activities, including due diligence, term sheets, and investor negotiations
• Manage Mergers & Acquisitions (M&A), joint ventures, and strategic partnerships
• Draft, review, and negotiate transaction documents and closing deliverables

Commercial & Contractual Law
• Own and manage all commercial contracts, including client, vendor, and partner agreements
• Draft and negotiate SaaS agreements, software licensing, and technology contracts
• Lead contract negotiation and legal risk management across business functions

Regulatory, Fintech & Financial Services
• Ensure compliance with financial services regulations applicable to fintech operations
• Advise on Fintech regulations and compliance across EU, UK, and USA
• Liaise with regulators, advisors, and external counsel when required

Data Privacy, GDPR & Cybersecurity
• Act as key legal owner for GDPR, CCPA, and global data protection frameworks
• Advise on data privacy, cybersecurity, and information security compliance
• Support internal teams on privacy-by-design and regulatory audits

Required Skills & Qualifications
• 8+ years of experience in corporate, commercial, or regulatory law
• Strong exposure to Fintech, SaaS, or technology-driven businesses
• Proven experience in fundraising, due diligence, term sheets, and investor negotiations
• Hands-on experience with GDPR, CCPA, and data protection laws
• Strong background in cross-border transactions and regulatory compliance
• Excellent contract drafting, negotiation, and risk assessment skills
• Ability to work closely with leadership and influence strategic decisions

Preferred Background
• Experience working with international companies or multinational operations
• Prior exposure to M&A, joint ventures, and strategic partnerships
• Experience coordinating with external counsel across jurisdictions
