General Counsel - Global Family Office

A global family office with a significant investment footprint in Australia, New Zealand, and the United States is seeking a seasoned General Counsel to oversee all legal, transactional, and tax-related matters. The ideal candidate will bring deep expertise in the legal and regulatory frameworks of these jurisdictions, while also managing investments and entity structures across other international markets. This role will require handling matters across a broad spectrum of sophistication—from tactical, day-to-day legal issues to high-level strategic advisory work for principals and investment teams. The General Counsel will be supported by an experienced paralegal and will coordinate with outside legal counsel across multiple jurisdictions on specialized matters. The family office’s primary investment areas are life sciences, technology, real estate, and lending; prior experience with legal and regulatory issues in any of these sectors is highly valued. The successful candidate must also be proficient in and embrace the use of AI tools to enhance efficiency, streamline research, and support decision-making. Key Responsibilities • Australia, New Zealand, and U.S. Expertise: Provide legal and tax structuring guidance specific to investments in Australia, New Zealand, and the United States, including corporate, securities, and regulatory matters. • Global Deal Structuring & Tax Strategy: Advise on cross-border investment structures in additional jurisdictions, ensuring tax-efficient outcomes while mitigating legal risk. • Transactional Support: Lead due diligence, negotiation, and documentation for M&A, private equity, venture capital, real estate, and lending transactions across geographies. • Entity Formation & Governance: Establish and maintain corporate and investment entities in multiple jurisdictions, with strong governance frameworks tailored to family office needs. • Compliance & Regulatory Oversight: Ensure compliance with applicable laws and regulations across all relevant jurisdictions, including securities regulations, foreign investment restrictions, and data privacy laws. • Policy Development & Risk Management: Create internal frameworks for risk management, compliance, and reporting. • Outside Counsel Coordination: Manage relationships with external law firms, engaging specialized counsel as needed for local, regulatory, or highly technical matters. • Global Coordination: Engage with principals, advisors, and counterparties across time zones, with flexibility in working hours to accommodate global stakeholders. Required Qualifications • Juris Doctor (or equivalent) from a leading law school; admitted to practice in the U.S., Australia, or New Zealand strongly preferred. • 10+ years of legal experience, with substantial expertise in U.S., Australian, and New Zealand investment, corporate, and tax law. • Experience structuring and executing international transactions, ideally with exposure to offshore jurisdictions (e.g., Cayman, BVI, Switzerland). • Demonstrated success in cross-border deal-making and tax optimization strategies. • Industry familiarity with life sciences, technology, real estate, and lending strongly preferred. • Proven ability to handle a range of legal work, from detailed tactical execution to high-level strategic counsel. • Proficiency with AI tools and willingness to integrate technology-driven solutions into daily workflows. • Excellent communication skills; ability to distill complex legal issues into actionable business guidance for principals and investment teams. • Flexibility to operate across varied working hours to align with stakeholders in multiple geographies. Location Considerations · Due to time zone requirements, candidates based in the Western United States, New Zealand, or the East Coast of Australia will be considered.
