CPA Consultant: Multi-Entity Tax Strategy & Asset Protection
Seeking a high-level CPA Consultant to audit and optimize a multi-state business structure. This is a strategic consulting role for a portfolio encompassing Real Estate, Consulting, and E-commerce.
The goal is to move beyond basic filing and implement a proactive tax and risk management roadmap.
Scope of Work
• Compliance & Deduction Audit: Review current Arizona LLC (S-Corp) to maximize deductions across three distinct business lines (Real Estate, Consulting, E-commerce).
• Entity Nesting Strategy: Provide a roadmap for integrating a Wyoming Holding Company (privacy/asset protection) and a Delaware Corporation (real estate holding) into the existing structure.
• Arizona Primary Residence Transfer: Guide the tax-efficient transfer of a primary home into an LLC. Must address A.R.S. § 11-1134 exemptions to avoid transfer taxes and provide a strategy to mitigate due-on-sale or tax reclassification risks.
• Cash Flow Optimization: Advise on the best way to maximize the entity nesting strategy outlined to ensure compliance and maximize cash flow.
Candidate Requirements
• Active CPA license with deep expertise in Arizona, Wyoming, and Delaware tax nexus.
• Proven experience with S-Corp optimization and multi-entity layering for asset protection.
• Strong background in Real Estate tax law, including depreciation strategies and property transfers.
• Ability to act as a Consultant/Strategist—not just a tax preparer.
