US Attorney Needed for Mobile App Portfolio Sale – IP/Trademark Guidance
We are a Turkey-based mobile app company in active negotiations to sell a portfolio of Android apps to a US-based buyer. Several apps in the portfolio have registered trademarks (app names), which we intend to retain since we continue to use these marks across our broader iOS and Android catalog.
We need a US-licensed attorney with experience in IP/trademark law and M&A or asset sales to:
Advise on structuring the deal so that we transfer the app assets (code, store listings, user base) while explicitly retaining ownership of the trademarks.
Draft or review trademark license terms. We may need to grant the buyer a limited license to use the marks during a transition period, or alternatively ensure the buyer rebrands.
Review the asset purchase agreement (APA) before signing, with particular attention to IP assignment clauses, representations & warranties, and any non-compete or exclusivity language.
Flag risks related to Google Play developer account transfers, revenue handoff, and any cross-border considerations (seller is in Turkey, buyer likely in the US).
Provide general counsel as needed through closing.
Ideal Candidate:
US-licensed attorney (bar membership required)
Strong background in intellectual property, trademarks, and technology transactions
Experience with mobile app or digital asset sales
Familiarity with app store (Google Play / Apple) transfer mechanics is a plus
Responsive communication, we are in active negotiations and need timely guidance
Experience with cross-border transactions is a plus
