Senior Associate, Securities Law

Our client, a sophisticated Chicago boutique law firm offering a flexible schedule, is seeking aSenior Associate with 8+ years of corporate, commercial and securities experience. This attorney will serve as a mentor and resource to junior attorneys in addition to providing legal advice and working closely with clients. This is a unique opportunity to join a highly collegial group of attorneys in an active and flexible transactional practice. Senior AssociateResponsibilities: • Lead and manage all legal aspects of Series Seed, Series A, and Series B financing rounds, including term sheet negotiations, due diligence, and closing documentation; • Advise on federal and state securities law compliance, including Regulation D and other private offering exemptions; • Represent issuers and investors in venture capital financing transactions; • Prepare and review Private Placement Memoranda (PPMs), Limited Liability Company Operating Agreements and Subscription Documents for private investment funds; • Counsel startup and growth-stage companies through entity formation, capitalization, and exit strategies, including advising on complex corporate structuring issues, equity incentive plans, and corporate governance best practices; and • Review, supervise, and mentor junior attorneys and paralegals in corporate legal work.Senior AssociateQualifications: • 8+ years of experience in corporate and securities law, with a strong background in venture capital financing, startup counseling, and private fund formation; • Expertise in drafting and negotiating complex corporate and fund documents, including leading high-stakes financing rounds and advising early-stage companies; • Strong leadership, mentoring, and project management skills; • Excellent communication, negotiation, and client relationship skills; and • J.D.from an accredited law school with excellent academic credentials and active membership in good standing of at least one U.S. state bar.
