[Remote] Sr. Legal Counsel- Real Estate
Note: The job is a remote job and is open to candidates in USA. Edged is a fast-growing provider of sustainable data centers and energy infrastructure. The Senior Counsel ā Real Estate and Finance will be a valued member of the Legal team, providing legal advice on real property matters, leading negotiations, and ensuring compliance with relevant regulations.
Responsibilities
⢠Act as primary counsel to the Edged site acquisition and development teams
⢠Advise on a wide range of real property matters, including title and environmental issues, zoning and entitlements, acquisitions and dispositions, easements, covenants, tax incentives, development agreements, and joint ventures
⢠Lead negotiations of purchase and sale agreements, development agreements, and joint venture agreements
⢠Advise on a wide range of debt financing transactions, including project finance and real estate construction loans and stabilized financing vehicles (ABS and CMBS)
⢠Produce and maintain best-in-class contract forms and standards
⢠Manage and maintain relationships with outside counsel
⢠Work with business leads, the General Counsel and the senior executive team to continually refine processes
⢠Serve as a trusted thought partner to business leads, the General Counsel, and the senior executive team
⢠Support other corporate and commercial matters identified by the General Counsel, as needed
⢠Ensure compliance with relevant regulations, standards, and company policies
Skills
⢠Juris Doctor from an accredited U.S. law school with strong academic credentials
⢠Membership of the Bar of at least one U.S. state or the District of Columbia
⢠7+ years of legal experience, including meaningful experience in real estate development and finance matters. Experience at a major law firm and as in-house counsel is highly preferred
⢠Self-directed, able to make decisions, and manages time well
⢠Effective, tactful, friendly, and high-integrity negotiation skills, both verbally and in writing
⢠Able to build genuine, trusting relationships with business leads
⢠Analyzes and balances legal risk with an eye towards the ultimate business goal
⢠Outstanding written and oral communication skills, good listener, and always receptive to constructive feedback
⢠Enthusiastic about challenges, comfortable with change, and eager to learn
⢠Works well under pressure, meets deadlines, and sees projects through to completion
⢠Experience at a major law firm and as in-house counsel is highly preferred
⢠Experience in the data center/digital infrastructure industry will be viewed positively but is not a strict requirement
