[Remote] General Counsel (Remote - North America, East Coast Preferred)
Note: The job is a remote job and is open to candidates in USA. JAGGAER provides an intelligent Source-to-Pay and Supplier Collaboration Platform, and they are seeking an experienced and strategic General Counsel to lead their global legal function. This role involves driving legal strategy across various domains including enterprise SaaS contracting, corporate governance, compliance, and dispute management.
Responsibilities
• Act as a trusted legal advisor to the ELT
• Lead global corporate governance matters, including board and committee support, subsidiary management, policies, and compliance with corporate obligations
• Shape and execute the global legal strategy in alignment with JAGGAER’s business objectives and risk appetite
• Oversee negotiation and execution of complex, high-value enterprise customer agreements, technology and channel partner contracts, and vendor arrangements
• Provide legal guidance on SaaS, software licensing, cloud services, SLAs, pricing models, intellectual property, artificial intelligence and data usage
• Support global Sales, Procurement, RFx and Partner teams with scalable contracting frameworks and risk-balanced deal structures
• Lead global compliance programs, including data protection (e.g., GDPR and other privacy regimes), anti-corruption, export controls and sanctions, and competition law
• Partner closely with Security, Product, and Engineering teams on privacy-by-design, information security and regulatory requirements
• Identify, assess, and mitigate legal and regulatory risks for global business
• Advise on corporate structure, subsidiaries, intercompany agreements, and global operations
• Lead legal aspects of mergers, acquisitions, divestitures, investments, and strategic partnerships
• Manage relationships with external counsel and advisors worldwide
• Provide legal guidance on global employment law, executive compensation, and equity programs
• Support senior leadership on sensitive employee relations and workforce matters
• Oversee litigation, arbitration, regulatory inquiries, and dispute resolution strategies
• Manage claims, investigations, and settlement negotiations
• Lead and develop a high-performing, globally distributed legal team
• Establish efficient global legal processes, playbooks, and contract standards
• Manage the legal budget and optimize use of external counsel
Skills
• Law degree from an accredited institution and qualification to practice law
• Significant in-house leadership experience required
• Strong background in enterprise SaaS, technology, and/or complex B2B environments
• Deep expertise in commercial contracting, preferably with multinational businesses and governmental entities, with broad generalist legal experience preferred
• Proven experience working directly with executive leadership and boards
• Proven cross-border experience working in a global business, including local language and regulatory profiles
• Strong judgment, leadership presence, and ability to balance risk with business needs
• General Counsel experience preferred
