[Remote] Corporate M&A Contract Attorney: Remote or Onsite in New York

They are seeking a seasoned Corporate Law Associate with substantial mergers and acquisitions experience to assist with a contract-based acquisition, working alongside the firm’s litigation partners. Responsibilities • Conducting due diligence • Assessing deal structure • Drafting and evaluating appropriate representations and warranties • Drafting and evaluating any appropriate non-compete or non-solicitation agreements • Assessing and successfully addressing any target indemnity issues • Assessing and successfully addressing any joint and several liability issues • Handling closing conditions • Managing all other aspects of merger and acquisition transactions.
