Legal Consultant – Hybrid Nonprofit & For-Profit Structure Setup

Project Overview We are seeking an experienced Legal Consultant for a one-time, project-based engagement to design and implement a compliant hybrid organizational structure consisting of a for-profit entity and a nonprofit (501(c)(3)) organization. The consultant will provide strategic legal guidance, support entity formation, and ensure full tax and regulatory compliance while maintaining clear separation between the two entities. Scope of Work -Hybrid Structure Design -Advise on the most appropriate and compliant hybrid structure (e.g., separate legal entities with shared services).-Ensure clear legal and financial separation between nonprofit and for-profit activities. -Provide guidance on governance structures, board roles, and conflict-of-interest policies. Entity Formation & Compliance -Assist with the formation and incorporation of both the for-profit and nonprofit entities. -Support the nonprofit’s 501(c)(3) application and documentation. -Ensure compliance with federal, state, and local regulatory requirements. Tax & Regulatory Advisory -Advise on tax compliance for both entities, including sales tax considerations and unrelated business income (UBI).-Provide guidance on leveraging nonprofit tax-exempt status appropriately and compliantly. -Identify compliance risks and mitigation strategies. Inter-Entity Agreements -Draft and review agreements governing the relationship between the two entities, including: -Shared services agreements -bolthires-sharing and reimbursement agreements -Intellectual property or licensing agreements -Ensure all agreements meet arm’s-length standards and regulatory best practices. Deliverables -Recommended hybrid structure with written legal rationale -Incorporated nonprofit and for-profit entities -Drafted bylaws, operating agreements, and governance documents -Completed or supported 501(c)(3) application package -Executed inter-entity agreements Consultant Qualifications -Licensed attorney with expertise in nonprofit, corporate, and tax law.-Proven experience establishing hybrid nonprofit–for-profit models. -Strong knowledge of 501(c)(3) compliance requirements. -Experience working with startups or mission-driven organizations preferred.
