About the position
The Investment Banking Counsel for Capital Markets will provide legal support and risk management for Deutsche Bank's U.S. Capital Markets businesses, focusing on a variety of debt and equity transactions. This role involves advising on capital markets transactions, managing legal risks, and collaborating with various departments to ensure compliance and effective legal practices.
Responsibilities
Ā Provide clear and concise advice to business units regarding capital markets transactions for a wide range of domestic and international issuer types and debt and equity products.

Ā Review and advise on pre-transaction and transaction documents from initial pitch phase through closing.

Ā Work with colleagues in the Legal Department and Compliance in the U.S. and overseas to coordinate advice regarding transactions and related matters.

Ā Assist with policy and guideline formulation and deliver related training on topical issues to the Legal Department and business units.
,
Ā Create, maintain, and update legal form templates for capital markets matters.
,
Ā Actively manage legal, regulatory and reputational risk issues and work with business units and legal billing group to manage outside legal counsel engagements and related costs and expenses.
Requirements
Ā An active State Bar membership and relevant capital markets experience at a major law firm and/or global investment bank.

Ā Experience representing broker-dealers on capital markets transactions.
,
Ā Federal securities law expertise, including familiarity with Securities and Exchange Commission regulations relevant to capital markets transactions.
