Join as General Counsel (GC) / Chief Compliance Officer (CCO) to safeguard our Web3-RE hybrid in a regulated landscape. We need one GC/CCO who has taken a fund through Reg D 3(c)(7) and launched ERC-20 security tokens on tZERO/Securitize. Experience with series LLCs, LPA drafting, and SEC no-action relief a must. Initial contractor → full-time. Role Overview: • Handle Reg D/3(c)(7) filings, token SEC compliance, series LLC setups, and DeFi integrations (e.g., Aave/Centrifuge collateral). • Oversee clean title/token-ready structuring; mitigate risks in tokenized treasury (e.g., Howey test, REIT wrappers). • Advise on cross-border funds, audits, and investor protections for raise and beyond. Ideal Candidate: • RE fund attorney (e.g., ex-Kirkland & Ellis or Lowenstein) with 7+ years in securities, token/STO experience. • Expertise in RWA compliance (VARA, SEC); tokenized real estate (e.g., RealT/Roofstock models). • Proactive in turning risks into edges (e.g., 30-day permits, finite supply protections).
