Freelance, On-Call Startup Law Of Counsel
Job Summary
We are seeking a dynamic, independent, and versatile Freelance, On-Call Startup Law Of Counsel to provide qualified legal guidance tailored to emerging startups and entrepreneurial ventures. This role is not defined by a minimum or maximum hourly requirement but rather counsel will be approached on an "as-needed" basis for support on startup law legal matters. Ideal candidate needs to take ownership of work product and competently handle matters on behalf of the firm.
Responsibilities
The attorney will assist the firm with matters commonly arising in startup representation, including:
• C-Corporation formation and governance, including DE-C-corp.
• Founder agreements and equity structuring
• SAFE and convertible note financings
• Cap table structuring
• Equity incentive plans and stock option grants
• Drafting/ negotiating commercial contracts, including MSAs
• General startup corporate advisory
Qualifications
• Juris Doctor (JD) degree from an accredited law school with active bar membership in good standing in at least one ABA jurisdiction (New York or New Jersey preferred). Do not apply if you are not a US-licensed lawyer.
• This role is client-facing. Counsel may be expected to engage with clients directly in support of their matters
• Direct experience working in startup law, specifically those services offered above
Pay: $60.00 - $80.00 per hour
