Fractional CFO / Venture Finance Expert (Seed Closing & Recapitalization)

We are a fast-growing AI/Infrastructure startup (Pebble) backed by Google’s Energy Accelerator and a mix of Hedge Fund/Tier 1 VC capital. We are currently closing a $5M Seed/Series S round that involves a comprehensive recapitalization of legacy notes into a clean Series S structure. We need a Venture Finance Sniper to own the closing mechanics, clean the cap table, and prepare us for a Tier 1 Series A. The Immediate Mission: Cap Table Recapitalization: Model and execute a complex recapitalization converting legacy SAFEs/Notes into Series S Preferred Stock. Closing Mechanics: Manage the closing process for the remaining tranche of capital. Coordinate with legal counsel on signature packets, wire tracking, and Blue Sky filings. Data Room Ownership: Audit and own the financial section of the Data Room. Ensure the Pro Forma Capitalization table matches the Term Sheet and withstands VC due diligence. Financial Modeling: Update the operating model (P&L, Burn, Runway) to reflect the new "Infrastructure Arbitrage" business model vs. pure SaaS. Requirements: Experience: Proven track record acting as a Fractional CFO or Finance Lead for VC-backed startups (Seed to Series B). Carta Expert: You must be a power user. You need to know how to model "1x Non-Participating Preferences" and handle complex conversion math not just basic SAFE issuances. Deal Fluency: You must understand NVCA Term Sheets.
