As we scale, we’re seeking a Founding Legal Advisor to provide expert guidance across corporate structure, capital raises, contracts, IP protection, and data/privacy compliance. This is a hands-on strategic role for a legal mind who knows how to operate at startup velocity.

Role Overview
As Founding Legal Advisor, you’ll serve as SEMCOG’s fractional legal lead—partnering with the CEO, CFO, and product leadership to ensure we’re legally sound, investor-ready, and built to scale.
This is a strategic advisory role—not just to keep us compliant, but to actively protect our IP, reduce liability, and support future M&A or IPO outcomes.

s • Review and guide capital raise documentation (SAFEs, equity splits, advisor agreements, investor memos
) • Advise on corporate structuring, governance, and board mechanic
s • Support commercial contract strategy (MSAs, NDAs, vendor and customer agreements
) • Provide oversight on data, privacy, AI ethics, and regulatory exposure (GDPR, HIPAA, FERPA, etc.
) • Collaborate on IP strategy for code, AI models, and brand asset
s • Help build a framework for international legal readiness (LATAM/EU pilots, nonprofit arms
) • Serve as legal voice during due diligence and investor conversation
