About the position

The Corporate Special Assets Officer or Senior Officer is responsible for managing a portfolio of adversely risk-rated commercial credit relationships, which may include a combination of Commercial and Industrial (C&I) or Commercial Real Estate (CRE) loans, as well as related bank services such as letters of credit, interest swaps, and complex treasury management products. The role involves developing workout strategies and negotiating directly with borrowers and their professionals to execute these strategies, aiming to reduce, rehabilitate, or eliminate credit risk that falls outside the Bank's risk appetite while minimizing the economic impact of adversely rated credit exposures on the Bank. In this position, the officer will oversee all portfolio management activities for assigned relationships, which include servicing, monitoring, credit actions, legal review, and document retention. The officer serves as the primary point of contact for all assigned customers and is expected to build relationships with agent banks, bank group members, junior creditors, and equity sponsors. The role requires recommending, structuring, and working directly with various stakeholders to develop, negotiate, document, and execute risk reduction strategies, including restructuring credit and repayment terms, obtaining additional collateral, and establishing recourse to other borrower assets. The officer will also work closely with legal counsel to analyze the Bank's legal position regarding existing loan agreements and develop strategies to enhance this position. This includes drafting and negotiating legal documentation necessary for executing strategies related to default letters, waivers, forbearance agreements, and more. The role requires continual monitoring of credit risk and performance of each assigned relationship, making timely recommendations for adjustments to risk ratings, and ensuring that credit files are accurate and complete. Additionally, the officer will represent the Bank in enforcing rights and remedies, including in judicial proceedings, and will be accountable for risk within their functional area, ensuring compliance with all relevant policies, procedures, and regulations. The position may also involve coaching and mentoring junior colleagues, and the officer is expected to travel to meet with borrowers and inspect the Bank's collateral as needed.

Responsibilities

• Oversee all portfolio management activities including servicing, monitoring, credit actions, legal review, and document retention.

• Serve as the primary point of contact for all assigned customers and build relationships with agent banks and other stakeholders.

• Recommend, structure, and work directly with customers and third-party professionals to develop risk reduction strategies.
,
• Maximize economic value and minimize losses on assigned relationships by balancing time, cost, and achievability of strategic resolution options.
,
• Work with legal counsel to analyze the Bank's legal position and develop strategies to enhance it.
,
• Monitor credit risk and performance of each assigned relationship, including covenant compliance and financial reporting.
,
• Make timely recommendations for adjustments to risk ratings and charge offs.
,
• Represent the Bank in the enforcement of rights and remedies, including in judicial proceedings.
,
• Ensure credit files are accurate, complete, and updated timely with appropriate documentation.
,
• Produce and present written reports concerning loan workout activities and risk ratings.
,
• Monitor cash collections and ensure the correct application of recovered funds.
,
• Travel to meet with borrowers and inspect the Bank's collateral as needed.
,
• Coach, mentor, and/or train junior colleagues.

Requirements
• Bachelor's Degree required, preferably in Business Administration, Finance, Real Estate, or a related discipline.
,
• 10+ years of commercial lending experience in a comparable organization or 10+ years of combined experience in commercial lending, creditor rights law, or commercial restructuring, with at least 5 years in commercial lending.
,
• 7+ years of experience working on complex wholesale credits with upper middle market or larger debtors.
,
• 3+ years of commercial workout and restructuring experience, including at least 2 years in complex commercial credit resolution for upper middle market or larger borrowers.
,
• Advanced commercial credit analysis, documentation, and structuring skills.
,
• Advanced knowledge of complex capital structures, including syndicated loans and intercreditor agreements.
,
• Thorough understanding of value drivers in commercial entities and advanced knowledge of bank products and regulations.
,
• Exceptional negotiation, written, verbal, presentation, and interpersonal skills.
,
• Ability to interact effectively with sophisticated internal and external constituents under adverse conditions.
,
• Exceptional attention to detail and sound judgment in decision-making.

Nice-to-haves
