Corporate and Cannabis Transactional Counsel • Counsel-level seat running small and mid-size corporate transactions end-to-end, often within a regulated industry framework • Work directly with founders, operators, and emerging growth companies on operating agreements, licensing structures, and complex commercial deals • Join a boutique platform known for tight-knit culture, efficiency, and low-ego collaboration A growing boutique law platform is hiring a Counsel to run small and mid-size corporate transactions with limited oversight, often within a regulated industry framework. You will lead deals end-to-end, interface directly with clients, and execute operating agreements, governance documents, and licensing-driven structures efficiently. Location: New York City or Bay Area preferred. Remote considered for the right profile Office cadence: 2 days, WFH is the norm locally Billables: baseline 1,500 hours with bonus scaling to performance What you will do Lead small and mid-size transactions from kickoff to close Draft and negotiate operating agreements, stock and asset purchase agreements, governance, and ancillary documents Structure licensing and regulatory-driven transactions across multiple jurisdictions Serve as day-to-day client contact and move work forward with minimal review Collaborate with regulatory specialists and associates as needed What you bring Counsel-level experience or equivalent seniority.
