Contract Lawyer for Client Engagement Agreements

Our firm focuses on raising growth equity for companies and securing financing for real asset projects. We're looking for a skilled contract lawyer to work with us, mainly to review and finalise our client engagement agreements. This role won't require many hours per week initially, but we'd like the right person to work with our firm over the long-term. THE ROLE We are seeking a skilled contract lawyer to review and finalise client engagement agreements for our capital raising and advisory firm. The ideal candidate will have experience in contract law, particularly in the context of engagement agreements for Investment Banking, and will work with us on a contract basis. We require legal expertise to review and finalize engagement agreements with our prospective clients. This is a critical role that directly impacts our firm's risk exposure. YOUR PRIMARY TASKS WILL INCLUDE: - Reviewing and Amending our standard engagement agreements based on comments and suggested amendments from prospective clients. - Negotiation Support (as needed) to finalize terms with clients or their counsel. - Risk Mitigation: Ensuring all final contracts are watertight, clearly define the scope of our services, and minimize our firm's potential liability while maintaining a fair and workable client relationship. - Standardization: Helping to refine our agreement templates for efficiency and consistency. REQUIRED SKILLS & EXPERIENCE - Proven experience as a contract lawyer or corporate attorney. - Deep understanding of commercial law, specifically as it relates to financial advisory, capital raising, or investment banking services (highly preferred). - Demonstrable experience in drafting, reviewing, and negotiating complex commercial contracts. - Exceptional attention to detail and a proactive approach to risk assessment and mitigation. - Excellent communication skills for clear, concise, and professional legal commentary.
