Contract Attorney (Corporate Transactions)
Overview We are a new law firm seeking a highly skilled Contract Attorney to join our team on a part-time contract basis. The ideal candidate will possess 3+ years experience in various transactional legal areas, including general business formation and organization, equity and debt financing transactions, startup advisory, venture capital financing, securities law, mergers & acquisitions and other general corporate transactions. This role involves advising a wide range of clients, drafting contracts and legal documents, advising clients directly and leading transactions from start to finish. The Contract Attorney will play a vital role in growing our new law firm. Duties • Draft, review, and negotiate a wide range of legal contracts and agreements. • Directly advise clients, providing expert guidance on a range of transactional and corporate legal matters • Assist in managing legal documentation and ensure accuracy in legal drafting. • Stay current with evolving laws and regulations relevant to practice areas such as landlord-tenant law and tribal law & regulations. • Collaborate with clients and internal teams to facilitate negotiations and resolve legal issues efficiently. • Maintain confidentiality and uphold the highest standards of professional integrity. Qualifications • Juris Doctor (JD) from an accredited law school. • Valid license to practice law in any state in the United States. • 3+ years experience at an AmLaw 200 law firm; in house or solo practioner experience preferred • Strong communication skills and demonstrated experience advising clients directly. • Demonstrated expertise in legal drafting and negotiation strategies. • Strong attention to detail and ability to interpret complex legal issues. • Strong organizational skills with the ability to manage multiple projects simultaneously.
